1. Acceptance of Terms

By accessing or using the docpenny service (the “Service”), including but not limited to the website, API, dashboard, and any related software, you (“you”, “your”, or “Customer”) agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, and any additional terms applicable to specific features or services.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case “you” or “Customer” shall refer to such entity.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

docpenny provides a credit-based PDF document generation service. The Service allows you to:

  • Create and manage PDF templates
  • Submit document generation jobs via our REST API or web dashboard
  • Process batch PDF generation tasks
  • Receive generated PDFs via download or webhook delivery
  • Monitor credit usage and job status

The Service operates on a pay-per-document model where 1 credit equals 5MB of generated PDF output (rounded up per file, with a minimum of 1 credit per job).

3. Accounts and Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.2 Project Accounts

The Service supports multi-tenant projects. A Project is a separate entity that owns:

  • Templates
  • PDF generation Jobs and Tasks
  • API Keys
  • Credit balances
  • Member invitations

You may be a member of multiple Projects, but each Project maintains separate credit balances and resources.

3.3 Account Security

You are responsible for maintaining the confidentiality of your password and any API keys. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

If you become aware of any unauthorized use of your account, you must notify us immediately at [email protected].

4. API Keys and Access

4.1 API Key Generation

API keys are generated for Projects and allow programmatic access to the Service. API keys have the following properties:

  • Unique identifier and secret key
  • Configurable rate limits
  • Optional expiration dates
  • Permission scopes

4.2 API Key Responsibilities

You are solely responsible for:

  • Keeping API keys secure and confidential
  • All activities performed using your API keys
  • Immediately revoking compromised API keys
  • Monitoring API key usage

We are not liable for any unauthorized use of your API keys.

4.3 Rate Limiting

API keys are subject to rate limiting to prevent abuse. Default rate limits are:

  • 10 requests per 24-hour period (configurable)

Exceeding rate limits may result in temporary suspension of your API key.

5. Credits and Billing

5.1 Credit System

The Service operates on a credit-based system where:

  • 1 credit = 5MB of generated PDF output (rounded up per file)
  • Minimum cost per job = 1 credit (even if output is less than 5MB)
  • Formula: Math.max(1, Math.ceil(totalBytes / 5,000,000))

Credits are deducted at job completion, after all tasks in a job have finished processing.

5.3 Free Tier

  • 50 free credits per month (250MB of output)
  • Free credits refresh automatically every 30 days
  • You must assign your free tier to one Project of your choice
  • Only one user per Project can assign their free credits to prevent abuse
  • Initial grant: 50 free credits on first Project creation

5.4 Credit Deduction

Credits are deducted from your Project’s balance when a Job completes successfully. If your Project has insufficient credits:

  • We will deduct to zero
  • The Job will still be processed and delivered
  • No negative balance will be created

5.5 Refund Policy

  • Full refund available within 14 days of purchase if all credits remain unused
  • Credits are non-transferable between accounts or Projects
  • Refunds for used credits are not available
  • Refund requests must be submitted via [email protected]

5.6 Statutory Withdrawal Right (Consumers Only)

If you are a consumer (a natural person acting outside their trade, business, or profession) residing in the European Union or European Economic Area, you have a statutory right to withdraw from this contract within 14 days without giving any reason, pursuant to Ordonanța de Urgență nr. 34/2014 (transposing Directive 2011/83/EU on consumer rights).

The withdrawal period expires 14 days after the day of the conclusion of the contract (your first purchase of credits).

How to exercise your withdrawal right: You must inform us of your decision to withdraw by an unequivocal statement (e.g., email). You may use the model withdrawal form below, but it is not mandatory. Send your withdrawal notice to [email protected].

Effects of withdrawal: If you withdraw within the 14-day period, we will reimburse all payments received from you for the purchased credits, without undue delay and in any event not later than 14 days from the day on which we are informed of your decision to withdraw. We will use the same means of payment as you used for the initial transaction, unless expressly agreed otherwise. No fees will be charged for the reimbursement.

Loss of the right of withdrawal for digital services: Pursuant to Art. 16 lit. m) of OUG 34/2014, the right of withdrawal does not apply to contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with your prior express consent and acknowledgment that you thereby lose your right of withdrawal. By submitting a PDF generation job, you expressly consent to the immediate performance of the Service and acknowledge that you lose your right of withdrawal for the credits consumed by that job.

This statutory right exists in addition to — not in replacement of — our commercial refund policy described in §5.5. If both policies apply, you may choose the one more favorable to you.

5.7 Payment Processing

Payments are processed through our payment processor, Polar. By making a purchase, you agree to Polar’s terms and conditions.

All payments are processed in EUR. Prices in other currencies are approximate and may vary based on exchange rates.

5.8 Taxes

All prices displayed on the Service are inclusive of applicable VAT. What you see is what you pay — no additional taxes are added at checkout.

6. Data and Content

6.1 Your Data

You retain all ownership rights to:

  • Templates you create
  • Data you submit for PDF generation (“Data Chunks”)
  • Generated PDF documents

6.2 Data Storage and Processing

  • Templates are stored in our S3-compatible storage
  • Data Chunks (your variable data) are encrypted at rest
  • Generated PDFs are stored temporarily and deleted according to our retention policy
  • All data is processed on European servers (OVH Cloud)

6.3 Data Retention

  • Completed Jobs: PDF artifacts are retained until downloaded or until the retention window expires
  • Job Metadata: Job and Task metadata is retained for billing and auditing purposes
  • Expired Jobs: When a Job expires, all associated PDF artifacts are permanently deleted
  • Failed Jobs: Failed Job data is retained for 30 days for debugging purposes

6.4 Prohibited Content

You may not use the Service to create, store, or transmit content that:

  • Violates any applicable law or regulation
  • Is defamatory, obscene, or pornographic
  • Contains viruses, malware, or other harmful code
  • Infringes any intellectual property rights
  • Is used for phishing, spam, or other abusive purposes
  • Contains personal data of third parties without their consent (except as permitted by applicable law)

We reserve the right to suspend or terminate your account if you violate these prohibitions.

6.5 Data Export

You may export your:

  • Templates (via API or dashboard)
  • Job metadata and status
  • Generated PDFs (before expiration)
  • Credit transaction history

7. Service Usage

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Examples of acceptable use include:

  • Generating invoices, reports, and business documents
  • Creating certificates, diplomas, and transcripts
  • Batch processing of document templates
  • Testing and development (using our free preview feature)

7.2 Prohibited Activities

You may not:

  • Use the Service to generate documents for illegal purposes
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to send unsolicited communications
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated scripts to create accounts or abuse the free tier

7.3 Preview Feature

Our Preview feature allows synchronous, watermarked PDF generation for testing purposes:

  • Free to use
  • One-time download
  • No credit consumption
  • Watermarked output (not suitable for production)

7.4 Webhooks

You may configure webhooks to receive notifications about Job and Task events. You are responsible for:

  • Maintaining your webhook endpoints
  • Processing webhook payloads securely
  • Handling retries and failures
  • Validating webhook signatures using the provided HMAC-SHA256 signature

Webhook payloads are signed with a X-Webhook-Signature header for verification.

8. Intellectual Property

8.1 Our Intellectual Property

All intellectual property rights in the Service, including but not limited to software, documentation, trademarks, and branding, are owned by us or our licensors. These Terms do not grant you any rights to our intellectual property except as expressly provided herein.

8.2 Your Intellectual Property

We do not claim any ownership rights to your Templates, Data Chunks, or generated PDFs. You retain all rights to your content.

8.3 Feedback

If you provide feedback, suggestions, or ideas related to the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute such feedback for any purpose.

9. Termination

9.1 By You

You may terminate your account at any time by contacting us at [email protected]. Upon termination:

  • Your account will be deactivated
  • Your Projects will remain accessible to other members
  • Any unused paid credits remain with the Project
  • Free tier credits are forfeited

9.2 By Us

We may suspend or terminate your account or access to the Service at any time, with or without cause, including but not limited to:

  • Violation of these Terms
  • Violation of applicable laws
  • Non-payment of fees
  • Security concerns
  • Abusive or harmful behavior

In the event of termination for cause, we may retain your data for a reasonable period to investigate the violation.

9.3 Effect of Termination

Upon termination, you will lose access to:

  • The Service dashboard
  • API access
  • New Job submissions

Existing Jobs may continue to process, and you may download completed PDFs before expiration.

10. Disclaimers and Limitations of Liability

10.1 Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • QUIET ENJOYMENT

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10.2 Service Level Agreement

While we strive for high availability, we do not provide a formal SLA. We reserve the right to perform maintenance, updates, and patches without prior notice.

10.3 Data Loss

We implement industry-standard backup procedures, but we cannot guarantee against data loss. You are responsible for backing up your important data, including Templates and generated PDFs.

10.4 Limitations of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL
  • BUSINESS INTERRUPTION
  • ANY OTHER DAMAGES RESULTING FROM YOUR USE OF THE SERVICE

Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of:

  • The total amount you paid for the Service in the 12 months preceding the event giving rise to the claim
  • 100 EUR

The limitations in this §10.4 do not apply to:

  • Liability for death, personal injury, or fraud
  • Liability arising from wilful misconduct or gross negligence
  • Any liability that cannot be limited or excluded under applicable mandatory law

If you are a consumer, nothing in this section limits your statutory rights under Romanian consumer protection legislation (Legea nr. 193/2000, OUG nr. 34/2014, OG nr. 21/1992).

11. Indemnification

You agree to defend, indemnify, and hold harmless us, our affiliates, and our respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney’s fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your content or any content submitted through your account

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of București, Romania.

12.1 Consumer Dispute Resolution

If you are a consumer residing in the European Union and have a complaint about our Service, you may pursue resolution through alternative dispute resolution (ADR) procedures.

We are committed to resolving disputes amicably. Before initiating formal proceedings, please contact us at [email protected]. We will endeavor to respond within 30 days.

Nothing in this section limits your right to bring proceedings before the competent courts as set out in §12 above.

13. GDPR and Data Protection

For users in the European Economic Area (EEA), United Kingdom, or Switzerland:

  • We are the Data Controller for your account data
  • You are the Data Controller for your content (Templates, Data Chunks, PDFs)
  • We act as a Data Processor when processing your content to generate PDFs

Our data processing activities comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice via:

  • Email to your registered email address
  • A prominent notice on our website or dashboard

Your continued use of the Service after such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

15. Miscellaneous

15.1 Force Majeure

Neither party shall be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused, directly or indirectly, by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.

15.4 Assignment

These Terms, and any rights or obligations hereunder, may not be transferred or assigned by you without our prior written consent. We may freely assign these Terms without your consent.

15.5 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, understandings, or representations.

15.7 Language

These Terms are written in English. In the event of any conflict between the English version and any translation, the English version shall prevail. For consumers residing in Romania, a Romanian language version of these Terms is available upon request at [email protected].

16. Data Processing Agreement (DPA)

This DPA applies when we process personal data on your behalf as a Data Processor (as defined in the Privacy Policy). It forms part of these Terms.
